1. Eligibility & Account

1.1 Account access

You must provide accurate account information and keep your login credentials confidential.

1.2 Responsibility for activity

You are responsible for all activity performed through your account. We are not liable for losses caused by unauthorized access resulting from your failure to safeguard credentials or device security.

2. Subscriptions & Payments

2.1 Plans and region-based pricing

Subscriptions include monthly and annual plans. Pricing is displayed by region (CAD for Canada; USD for the U.S. and global users). You are responsible for reviewing the pricing currency and amount before payment.

2.2 Subscription & payment waiver

You may cancel your subscription at any time without liquidated damages; however, no refunds will be issued for the current billing cycle (month/year) once payment is completed. We shall not be liable for any charges or losses caused by your failure to cancel the subscription prior to automatic renewal.

2.3 Stripe processing

Payments are processed via Stripe. We shall not be liable for payment failures, delays, declined transactions, or additional fees caused by Stripe system issues, your bank’s restrictions, network outages, or your payment method problems.

2.4 Cancellation

You can manage, cancel, or update your subscription via the Stripe Customer Portal. Billing inquiries: billing@cleanestimator.app.

3. Tool-Only Service (Estimates & PDFs)

3.1 Reference-only output

Estimates, quotes, and PDF documents generated through the platform are for reference only. You, as the service provider, are solely responsible for final pricing, service execution, and client communications.

3.2 Dispute and claim waiver

We shall not be liable for any disputes, claims, or losses between you and your clients arising from the use of estimates, quotes, or PDFs generated by the platform.

4. Service Availability & Changes

4.1 Interruptions and maintenance

We may temporarily suspend, modify, or update services for maintenance, upgrades, or due to force majeure (including natural disasters, regulatory changes, or unforeseen technical issues).

4.2 Service interruption waiver

We shall not be liable for any direct or indirect losses caused by service disruptions, downtime, or changes in functionality.

5. User Conduct

5.1 Compliance with laws

You agree to use the platform in compliance with all applicable laws and regulations.

5.2 Prohibited misuse

If you use the platform for illegal, fraudulent, or unethical purposes (including false quoting or scamming clients), we reserve the right to suspend or terminate your account without prior notice.

5.3 Indemnification

You shall bear all legal liabilities and compensate us for losses incurred due to your improper use, including claims, disputes, penalties, chargebacks, and reasonable costs.

6. Intellectual Property

6.1 Ownership

The platform, software, and related content are owned by VerveAI or its licensors. These Terms do not grant you any ownership rights.

6.2 Your content

You retain responsibility for the content you submit (including client data and estimate inputs). You represent that you have the rights to submit and use such content.

7. Disclaimers & Limitation of Liability

7.1 No warranties

CleanEstimator is provided "as is" and "as available" without warranties of any kind. We do not guarantee accuracy, completeness, results, or uninterrupted availability.

7.2 Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or reputation.

7.3 No professional advice

CleanEstimator does not provide tax, legal, accounting, or professional advice. You should consult a qualified professional regarding compliance, taxes, licensing, and obligations.

8. Governing Law

8.1 Applicable law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.
